we had a president of a company that was
00:07
basically running the company
00:10
for his own benefit
00:12
i mean he was
00:13
had hunting leases he took hunting trips
00:16
he bought thousands of dollars of wine
00:18
took jets all over the place and things
00:21
like that he was really working in the
00:23
office two or three days a week but even
00:26
worse than that
00:27
is he was setting the company up to take
00:30
it over himself and take it away from
00:32
the shareholders he was amending the
00:34
bylaws and the articles of incorporation
00:37
to increase his power and to take over
00:40
the board and so what we were able to do
00:43
was to
00:44
take a board over ourselves using
00:46
cumulative voting rights and then file a
00:49
lawsuit against him for
00:52
misappropriating all of the company’s
00:54
money and trying to steal actually the
00:56
entire company for himself

Austin, TX commercial litigation attorney John W. Thomas shares the story of a memorable fiduciary matter he handled. He recalls that he once dealt with a case involving the president of a company who was essentially running it for his own personal gain. The man had arranged expensive hunting leases, taken lavish trips, bought thousands of dollars’ worth of wine, and flown on private jets—all on the company’s dime. He barely showed up to the office more than two or three days a week.

Worse yet, he was quietly positioning himself to seize full control of the company from its shareholders. He had been amending the bylaws and articles of incorporation to expand his authority and dominate the board. Using cumulative voting rights, they managed to take control of the board themselves and then filed a lawsuit against him for misappropriating company funds—and for attempting to steal the entire company for his own benefit.
