Well, they’re really pretty factually intensive cases. And inevitably you need to get a forensic accountant involved because a lot of times the disputes arise over either compensation or use of corporate funds. Or maybe one of the owners has not – has tried to hide things from the other. So inevitably, if you’re working for the shareholder or the owner who isn’t in  charge, isn’t running things, you’ll need to get an independent accountant to really forensically look at the books to determine what types of perhaps misappropriation of funds or what other things have occurred financially with the company to determine whether your client has, in fact, been prejudice in a way that gives ’em a right to pursue it in court.

Minneapolis commercial litigation and professional liability attorney Barry O’Neil discusses how to go about proving up a case in a shareholder dispute.
