That – why I love my job is that it’s not common. I think if I did something every day where I dealt with just this one issue – you know, one clause in a bank document – I think I’d go crazy. The – what is interesting is that my old – Jerry Simon, from Monahan Simon, my old boss – used to say that “They come to us because it’s hard, not because it’s easy. If it was easy, they wouldn’t come to us.”

What I love is that it’s different every day. And so, that – there isn’t a common corporate question. There’s a lot of questions that come up that I’ve dealt with before, like “We need an employment agreement,” or “We need to look at our independent contractors to see whether or not they become employees,” or “We want to create a new division,” or “We’re about to spin off a new company in Alabama; do we need to create an LLC down there?”

Those issues come up, but it’s never the same, which is why it’s so great. And we figure out the best solution together – sometimes, with their accountant – and that’s what makes it really fun.

Minneapolis business attorney Stephen Yoch of Felhaber Larson describes common legal issues that corporations deal with.
