It’s critical for an employer to have all employees sign a confidentiality agreement that protects both their confidential information and also any trade secrets.  It’s also important in some instances, that employees sign invention agreements to ensure that whatever they invent during the course of their job belongs to the employer versus the employee.  Also, those invention agreements have to comply to Minnesota law, which is very specific in that regard, and then, if appropriate, non-compete agreements or non-solicitation agreements.
