The asset section is one of the hearts of it. What assets are we taking? What assets, we being the buyer, what assets are being sold? What assets are being retained by the buyer? Generally, cash is excluded. But if you think about it, one by one, receivables, well, who owns them? Who collects them buyer or seller? Work in progress, who bills it, who collects it, who owns it? The intellectual property, what is it, which comes, which doesn’t? Inventory, now is this being adjusted? You have to think through every asset hard and intangible that the seller has and is it included in the deal or is it not?
