The answer is it depends on the jurisdiction. But for example, in Minnesota if a court finds that a non-compete agreement or a non-solicitation agreement is over broad, the court can essentially reform that agreement and say this is what I, court, find to be reasonable in nature and limit. The scope of the agreement such that the full scope is perhaps not enforceable but the limited scope found to be reasonable in nature by the court is enforceable.
